1. Agreement to Terms

By accessing or using SimClipper ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

SimClipper is operated by Firma Flow (CVR: 42705063), a company registered in Denmark ("we", "us", or "our").

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3. Description of Service

SimClipper is a web-based video generation platform that allows users to create short-form and long-form videos using various templates and effects. The Service includes:

• Video generation tools and templates
• Video storage and management
• Integration with third-party services (YouTube)
• Premium subscription features

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4.3 Account Termination

You may delete your account at any time through the Service settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to the videos and content you generate using the Service ("Your Content"). We do not claim any ownership rights to Your Content.

5.2 Our Content

The Service, including all templates, graphics, user interface, visual interfaces, code, software, and all other elements of the Service (excluding Your Content) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.3 License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial purposes, subject to these Terms.

6. Subscription and Payment

6.1 Free and Premium Plans

The Service offers both free and premium subscription plans. Premium features require payment of applicable fees.

6.2 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms and conditions.

6.3 Subscription Renewal

Premium subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee.

6.4 Cancellation

You may cancel your premium subscription at any time through your account settings or billing page. Cancellation will take effect at the end of the current billing period.

6.5 Refund Policy

All subscription fees are non-refundable. No refunds or credits will be provided for partial subscription periods.

7. Third-Party Integrations

The Service may integrate with third-party services, such as YouTube. Your use of these integrations is subject to the third party's terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

8. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or other user accounts
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated means (bots, scripts, etc.) to access the Service without our prior written permission
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Transmit any viruses, malware, or other malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Availability

We do not guarantee that the Service will be available at all times or that it will be error-free. We may modify, suspend, or discontinue the Service at any time without notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other malicious code that may be transmitted to or through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

11. Indemnification

You agree to indemnify, defend, and hold harmless Firma Flow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of Denmark.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
